01Introduction
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and CODEZONIA OÜ ("CODEZONIA", "we", "us", or "our"), a company registered in Estonia under registry code 17462756, located at Tartu mnt 112, Kesklinna linnaosa, Tallinn, Harju maakond 10112, Estonia.
These Terms govern your access to and use of our website at codezonia.com, as well as all services provided by CODEZONIA including telecommunications, software engineering, computing infrastructure, and consulting services.
By using our website or engaging our services, you affirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our website or services.
02Services
CODEZONIA provides the following categories of professional services:
- Telecommunications: Advanced network architecture, global connectivity solutions, high-speed data transmission infrastructure, and industrial-grade reliability services.
- Software Engineering: Custom algorithmic development, scalable software frameworks, enterprise application development, system integration, and digital platform engineering.
- Infrastructure & Consulting: Strategic technical advisory, computing infrastructure deployment, system optimization, performance tuning, and future-proofing of digital assets.
- Information Service Activities: Expert consulting on information management, data flow optimization, and enterprise digital transformation.
The specific scope, deliverables, timelines, and pricing for each engagement will be detailed in a separate Statement of Work (SOW) or Service Agreement agreed upon between CODEZONIA and the Client.
03Eligibility
To use our services, you must:
- Be at least 18 years of age or the legal age of majority in your jurisdiction.
- Have the legal authority to enter into binding contracts on behalf of yourself or the organization you represent.
- Provide accurate, complete, and current information when contacting us or engaging our services.
- Not be prohibited by applicable law from using our services.
By engaging CODEZONIA, you represent and warrant that you meet all eligibility requirements.
04User Obligations
When using our website or services, you agree to:
- Provide accurate and truthful information at all times.
- Use our website and services only for lawful purposes and in compliance with applicable laws and regulations.
- Not attempt to gain unauthorized access to any systems, networks, or data associated with CODEZONIA.
- Not use our website to transmit malicious code, spam, or any content that is harmful, fraudulent, or misleading.
- Not interfere with or disrupt the integrity or performance of our website or services.
- Cooperate with CODEZONIA and provide timely responses, approvals, and necessary information to facilitate service delivery.
- Maintain the confidentiality of any access credentials provided to you.
- Comply with all applicable export laws and regulations.
05Intellectual Property
5.1 CODEZONIA's Intellectual Property
All content on our website, including text, graphics, logos, icons, images, and software, is the property of CODEZONIA OÜ or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written consent.
5.2 Work Product
Ownership of deliverables created by CODEZONIA for clients will be specified in the applicable Service Agreement. Unless otherwise agreed in writing:
- Upon full payment, custom deliverables specifically created for the Client will transfer ownership to the Client.
- Pre-existing materials, proprietary frameworks, tools, and methodologies used by CODEZONIA remain the intellectual property of CODEZONIA.
- CODEZONIA retains a perpetual license to use non-confidential, generalized knowledge and experience gained from all engagements.
5.3 Third-Party Licenses
Where deliverables incorporate third-party software, components, or technologies, such items are subject to their respective license terms, which will be disclosed to the Client.
06Payment Terms
All payment terms, rates, and schedules will be specified in individual Service Agreements. Unless otherwise stated:
- Invoices are due within 30 days of the invoice date.
- Payments should be made in the currency specified in the Service Agreement.
- Late payments may incur interest at a rate of 0.1% per day on the outstanding balance, in accordance with Estonian law.
- CODEZONIA reserves the right to suspend services for overdue accounts with reasonable prior notice.
- All fees are exclusive of applicable taxes (including VAT), which will be added as required by law.
- Expenses reasonably incurred by CODEZONIA in the performance of services will be invoiced separately with supporting documentation.
07Confidentiality
Both parties agree to maintain the confidentiality of all proprietary, sensitive, or non-public information disclosed by the other party in connection with the services ("Confidential Information").
- Confidential Information may only be used for the purposes of performing services under the relevant Service Agreement.
- Neither party will disclose Confidential Information to third parties without prior written consent, except as required by law.
- These confidentiality obligations survive for a period of 5 years after the termination or completion of any engagement.
- This obligation does not apply to information that is publicly available through no breach of these Terms, or independently developed without reference to Confidential Information.
08Disclaimers
Our website is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, CODEZONIA disclaims all warranties, express or implied, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Warranties that the website will be uninterrupted, error-free, or free of viruses or harmful components.
- Warranties regarding the accuracy, completeness, or timeliness of website content.
Professional services are provided with reasonable care and skill, but CODEZONIA does not guarantee specific business outcomes or results from our consulting or technical services.
09Limitation of Liability
To the fullest extent permitted by applicable law:
- CODEZONIA's total aggregate liability for any claims arising out of or related to the services shall not exceed the total fees paid by the Client to CODEZONIA in the 12 months preceding the claim.
- CODEZONIA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.
- CODEZONIA shall not be liable for any delay or failure to perform resulting from circumstances beyond our reasonable control (force majeure), including natural disasters, network outages, governmental actions, or cyberattacks.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable Estonian or EU law.
10Indemnification
You agree to defend, indemnify, and hold harmless CODEZONIA OÜ, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your breach of these Terms or any Service Agreement.
- Your violation of any applicable law or regulation.
- Your infringement of any third-party rights, including intellectual property rights.
- Content or materials you provide to CODEZONIA that infringe third-party rights.
11Termination
Either party may terminate a Service Agreement in accordance with the termination provisions specified therein. In general:
- Either party may terminate for convenience with 30 days' written notice, unless otherwise specified.
- Either party may terminate immediately for material breach if the breaching party fails to remedy the breach within 14 days of written notice.
- CODEZONIA may suspend or terminate access to our website immediately if we reasonably suspect misuse, fraud, or violation of these Terms.
Upon termination, all outstanding fees become immediately payable, and each party will return or destroy the other's Confidential Information as directed. Provisions regarding intellectual property, confidentiality, limitation of liability, and governing law survive termination.
12Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Estonia, without regard to its conflict of laws principles.
Any disputes arising out of or in connection with these Terms shall be resolved as follows:
- Negotiation: The parties will first attempt to resolve the dispute through good-faith negotiation within 30 days of one party notifying the other in writing of the dispute.
- Mediation: If negotiation fails, the parties may seek non-binding mediation before proceeding to litigation.
- Litigation: Any unresolved disputes shall be submitted to the exclusive jurisdiction of the courts of Tallinn, Estonia.
EU consumers may also access the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
13Changes to Terms
CODEZONIA reserves the right to update these Terms at any time. When we make material changes:
- We will update the "Last Updated" date at the top of this page.
- For ongoing service engagements, material changes will be notified in writing with at least 30 days' notice.
- Continued use of our website or services after the effective date of changes constitutes acceptance of the updated Terms.
We recommend reviewing these Terms periodically to stay informed of any changes.
